Проанализированы результаты невыполнения или неполного выполнения структурных предписаний, выданных ФАС России компании «Роснефть» при поглощении ТНК-ВР. Невыполнение условий предписаний о продаже бензоколонок в регионах, где после слияния суммарная доля объединенной компании превысила 50%, не сочеталось с ростом розничных цен на моторное топливо, как показывают результаты анализа методом разности в разностях. Иными словами, сама информация о том, что ФАС России будет пристально следить за ценами в этих регионах, оказалась достаточной для предотвращения потерь потребителей от сделки слияния.

Цель статьи – систематизация существующего опыта анализа и оценки отдельных компонентов синергии, обоснование применимой к российскому рынку модели оценки синергии и эмпирическая проверка гипотез о структуре созданной синергии на различных этапах развития рынка слияний и поглощений. Результаты исследования могут быть использованы менеджментом компаний и инвестиционными аналитиками для оценки перспектив будущих слияний и поглощений на российском рынке.
Настоящая работа посвящена эмпирическому исследованию объединения трех высших учебных заведений в Санкт-Петербурге. Данное объединение вузов является следствием реформ в области высшего образования России: процессов укрупнения одних и сокращения других вузов, образования федеральных университетов, сокращения многочисленных непрофильных специальностей. В статье строится прогноз экономических последствий объединения в рамках коммерческой формы обучения для получения степени бакалавра. В частности, получен прогноз о росте цен на коммерческие места, что объясняется низкой эластичностью спроса на рынке высшего образования и другими факторами. Эмпирический анализ в статье реализован по методу имитационного моделирования слияний, для чего были собраны данные о коммерческих местах по рассматриваемым высшим учебным заведениям Санкт-Петербурга.

Статья посвящена изучению влияния слияний и поглощений на рыночную власть (market power) компаний – инициаторов сделки. Выборка состоит из 171 внутрироссийской сделки, завершенной с января 2006 г. по сентябрь 2015 г. Публикация дополняет существующие исследования по теме в двух направлениях. Во-первых, были выявлены особенности влияния внутрироссийских слияний и поглощений на рыночную власть на основании данных непубличных компаний, сделки между которыми составляют значительную долю российского рынка слияний и поглощений. Во-вторых, количественно оценено влияние слияний и поглощений на рыночную власть российских компаний, в том числе в таких отраслях, как добыча полезных ископаемых, торговля, связь, металлургия, транспорт и в некоторых других. Проведенный анализ показывает, что в целом внутрироссийские сделки не приводят к значимому усилению рыночной власти. Наиболее успешной отраслью является оптовая и розничная торговля, где успешные сделки составляют 68% общей выборки. Результаты исследования могут быть использованы менеджментом компаний для оценки будущих внутрироссийских сделок слияний и поглощений, а также академическими исследователями слияний и поглощений на развивающихся рынках.
